Constitution


Article 1. Name. The name of this organization is the Washington Flute Circle (WFC). The organization has several branches or chapters that operate independently from each other, and from the parent group.

Article 2. Purpose. The WFC is a nonprofit educational organization which is dedicated to the preservation, study, teaching, enjoyment and continuing evolution of the American Indian flute, related culture and music.

Article 3. Membership. All persons interested in the American Indian flute are eligible to become members of both individual chapters, and the Washington Flute Circle, upon payment of dues.

a. Members in good standing are entitled to attend general and special meetings; to vote on all questions coming before the membership; to hold office and serve on standing or special committees.

b. Membership dues and privileges are determined by the membership of each chapter. Currently the dues are by individual voluntary donation collected at meetings.

Article 4. Meetings of the Membership.

a. The Annual Meeting of the Membership shall be held each year in the month of January for the election of Officers, and the transaction of any necessary business.

b. Special meetings of the membership at the request of at least 10% of the membership. Notices of special meetings shall state the matters to be considered.

c. At least one month's notice of the annual or any special meeting shall be given.

d. Regular meetings are scheduled by the membership of each chapter.

e. The quorum for transaction of business is the membership present at any annual, general, or special meeting.

f. A simple majority vote of those voting is necessary to transact any business brought before the membership, including the election of officers, except as otherwise noted in these bylaws.

Article 5. Officers. There are three officers that form the leadership/management team for the Washington Flute Circle. Term of office is one year. Duties of Officers are:

a. The officers are responsible for the operation of the group. They preside at meetings, calls regular or special meetings of any committees or membership as needed, appoints the leaders of standing or special committees. They are responsible for appointing a leader for each meeting.

b. Officers are responsible for the collection of dues and charges, for the disbursement of fees and for payment of authorized expenditures. They advise the membership about the finances of the organization and assists in formulating the budgets for the regular and special activities. They prepare a yearly financial statement of operations for presentation at the annual meeting.

c. Officers are responsible for representation of the Washington Flute Circle to The International Native American Flute Association through submission of written and personal communication.

Article 6. Election of Officers. Officers are volunteers, and are confirmed in office at the annual meeting by a simple majority of members present. Officers will serve without remuneration.

a. Any member may volunteer for office at the annual meeting. In the case of two or more volunteers for either office, an election will held.

b. A majority of those voting is required for election to office. In the event of a contested election, paper ballots shall be used and tellers appointed by the Officers to tally the results.

c. Parliamentary rules will apply. Any officeer may be recalled and replaced by simple majority of the membership present at any annual, general or special meeting.

Article 7. Fiscal Year. The fiscal year of WFC is January 1 through December 31.

Article 8. Amendments to the Bylaws. Amendments to these Bylaws may be made upon one month's written notice to members; this notice must state the proposed changes. A two-thirds majority vote of those voting is required for adoption.

Article 9. Special Notices re Tax Exemption.

a. No part of the WFC assets or net earnings may inure to the benefit of private individuals. This does not preclude the payment of any reasonable fees for goods or services provided to the organization.

b. In the event of dissolution of the WFC, the group's assets will be distributed to International Native American Flute Association (INAFA), which is exempt under section 501(c)3 status of the Internal Revenue Code.

c. The WFC shall not as a substantial part of its activities attempt to influence, carry on propaganda or otherwise attempt to influence legislation except to the extent permitted by section 501(h) of the Internal Revenue Code.

d. It is intended that the WFC be entitled to exemption from Federal income tax under section 501(c)3 of the Internal Revenue Code and shall not be a private foundation as described in section 501(a) of the Code.

e. The organization subscribes to the general purposes of International Native American Flute Association.
